Terms and conditions for using Vertirix services

These Terms of Service ("Terms") govern your access to and use of the website vertirix.com and any related services, features, content, applications, or APIs (collectively, the "Services") provided by Vertirix ("Company," "we," "us," or "our"). By accessing or using the Services, you ("you" or "User") agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
"Content": All text, images, graphics, video, audio, software, code, voice recordings, AI models, and other materials available through the Services.
"User Content": Any Content that you or other users submit, post, or display on or through the Services, including voice data and conversation logs.
"Account": A unique user profile you create to access certain features of our voice AI services.
"API": Our application programming interface for voice AI services, including any documentation, usage limits, and developer guides.
"Authorized Users": Employees, contractors, or agents of an Account holder who are permitted to use the Services under the Account holder's authority.
"Voice AI Services": Our artificial intelligence-powered voice agent solutions, conversational AI systems, and related technologies.
"Force Majeure Event": Circumstances beyond our reasonable control, such as acts of God, war, terrorism, strikes, natural disasters, or governmental actions.
Eligibility: You must be at least 18 years old (or older if required by local law) and have legal capacity to enter into contracts. Organizations must be legally incorporated and authorized to conduct business.
Acceptance: By clicking "I Agree," registering, creating an account, or using the Services, you accept these Terms and our Privacy Policy.
We may modify these Terms at any time. For material changes, we will give at least 30 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance of the modified Terms.
Registration: Provide accurate, complete, and up-to-date information during registration and maintain its accuracy.
Security: Keep your login credentials confidential and secure. Use strong passwords and enable multi-factor authentication when available. Notify us immediately of any unauthorized access or security breaches.
Account Responsibility: You are responsible for all activities under your Account, including actions by Authorized Users.
Account Suspension/Termination: We may suspend or terminate Accounts for inactivity, breach of these Terms, illegal conduct, or security violations.
License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes in accordance with these Terms.
Restrictions: You may not: (a) reverse-engineer, decompile, or attempt to extract any part of our voice AI technology; (b) sublicense or resell access to the Services; (c) use automated tools to extract data beyond allowed API usage; (d) remove or modify proprietary notices; or (e) use the Services to develop competing voice AI products.
Service Availability: We aim for 99.9% uptime for our voice AI services but do not guarantee uninterrupted access due to maintenance, updates, or unforeseen circumstances.
Subscription Plans & Fees: We offer various pricing tiers for our voice AI services. All fees are non-refundable except as required by law or as expressly stated in these Terms.
Free Trials: Limited-duration access to premium features may be offered. You must cancel before the trial period ends to avoid charges.
Billing & Renewal: Subscriptions auto-renew at the then-current rate unless cancelled. You may cancel renewal through your account settings before the next billing cycle.
Late Payments: Overdue payments may incur interest charges and result in service suspension until payment is received.
Taxes: You are responsible for all applicable taxes, duties, and governmental charges related to your use of the Services.
Refunds: Refunds are granted at our sole discretion. Generally, no refunds are provided after 30 days from the original payment date.
Cancellation: You may cancel your subscription at any time through your account settings. Access to premium features remains until the end of your current billing period.
Enterprise Agreements: Custom refund and cancellation terms may apply to enterprise customers as specified in separate agreements.
Promotional Codes: Valid only once per Account, subject to expiration dates, and cannot be combined with other offers unless specified.
Referral Bonuses: Awarded for verified new customer sign-ups. Bonuses may be revoked if fraudulent activity is detected.
Terms: All promotional offers are subject to additional terms and conditions that will be communicated at the time of the offer.
Ownership: You retain ownership rights in your User Content, including voice recordings and conversation data.
License to Company: You grant us a limited, worldwide, royalty-free license to use, process, and analyze your User Content solely to provide the Voice AI Services, improve our technology, and for security purposes.
Responsibility: You are solely responsible for the legality, accuracy, and appropriateness of your User Content.
Feedback: Any suggestions, feature requests, or ideas you submit regarding our Services become our property and may be used without obligation to you.
You agree not to use the Services to:
API Keys: You must keep API keys secure and confidential. Notify us immediately if you suspect your keys have been compromised.
Rate Limits: API usage is subject to published quotas and rate limits. Excessive usage may incur additional charges or result in throttling.
Documentation: You must follow our official API documentation and best practices for integration.
Change Management: We may deprecate API endpoints or modify functionality with 90 days' advance notice to developers.
Our Services may integrate with or link to third-party products, services, or websites. We are not responsible for their content, privacy practices, security, or availability. Your interactions with third parties are solely between you and them, and you should review their terms and privacy policies.
Company IP: All rights, title, and interest in the Services, including our voice AI technology, algorithms, and improvements (excluding User Content), belong to Vertirix or our licensors.
Trademarks: You may not use our logos, trademarks, or service marks without prior written consent.

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, process, and protect personal data in connection with our voice AI services. This includes handling of voice recordings, conversation data, and other personal information.
Security: We implement industry-standard security controls including encryption, access management, monitoring, and regular security assessments.
Backups: We maintain regular backups of our systems, but you should maintain your own copies of important data and configurations.
Data Loss: We are not liable for data loss due to your actions, third-party events, or circumstances beyond our control.
Support: Technical support is provided via email, chat, or ticketing system as described in your service plan.
SLA (Enterprise Only): Enterprise customers receive service level agreements guaranteeing 99.9% uptime and defined response times as specified in their service agreements.
Support Hours: Standard support is available during business hours (UAE time). Premium support includes extended hours and priority handling.
We may add, modify, or discontinue features, integrations, or voice AI capabilities at any time, with or without notice. Material changes affecting core functionality will be communicated via email or dashboard notifications.
Beta features, experimental voice AI models, or trial programs are provided "as-is" and may be unstable, incomplete, or subject to changes. These features are not subject to SLAs or standard support commitments.
Neither party is liable for delays or failures in performance caused by Force Majeure Events, including but not limited to natural disasters, government actions, or infrastructure failures. Performance obligations resume once the event abates.
"As-Is" Service: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
DISCLAIMER OF WARRANTIES: TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE VOICE AI SERVICES WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.
No Indirect Damages: WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Liability Cap: OUR AGGREGATE LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $1,000 USD, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold us harmless against claims, damages, losses, and expenses (including reasonable attorney fees) arising from your breach of these Terms, your User Content, violation of laws, or negligent or wrongful acts in connection with the Services.
By You: Cancel your Account at any time via account settings or by contacting support.
By Us: We may suspend or terminate your access immediately for breaches of these Terms, unlawful conduct, security violations, or non-payment.
Effect of Termination: Upon termination, your license to use the Services ends, access ceases, and unused prepaid fees are non-refundable unless required by law. Data deletion occurs according to our Privacy Policy.
Governing Law: These Terms are governed by the laws of the United Arab Emirates, excluding conflict-of-law principles.
Dispute Resolution: Disputes will be resolved through good faith negotiation, followed by mediation, and finally binding arbitration under DIAC (Dubai International Arbitration Centre) rules, except for claims requiring injunctive relief.
Jurisdiction: For any legal proceedings, parties consent to the exclusive jurisdiction of Dubai courts.
Class Action Waiver: You and we waive the right to participate in class action lawsuits or class arbitrations.
We send legal notices via email to your registered address or by posting on the Services. You agree that electronic notices constitute effective legal notice. Send notices to us at legal@vertirix.com.
Entire Agreement: These Terms, our Privacy Policy, and any signed service agreements constitute the entire agreement between the parties.
Severability: If any provision is found invalid or unenforceable, the remainder of these Terms remains in full force.
Waiver: No waiver of any breach constitutes a waiver of any subsequent breach.
Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations freely.
Electronic Communications: You consent to receive electronic notices, agreements, and transaction confirmations.
